Payment for board members
[edit]"Inside directors usually are not paid for sitting on a board in its own right, but the duty is instead considered part of their larger job description. Outside directors on a board likewise are often unpaid for their services and sit on the board as a volunteer in addition to their other jobs."
Why is a distinction made between inside directors and outside directors, if the same is said about both types? You can just say
Board directors usually are not paid, but instead the duty is considered part of their larger job description. -Pgan002 (talk) 07:27, 4 February 2010 (UTC)
Non-executive directors are nearly always paid
[edit]Do you really think they sit on a board of a listed company out of good will?
Normally remuneration comprises Directors' fees (base plus Board Committee fees), superannuation contributions and retirement benefits. Share options are also a possibility. —Preceding unsigned comment added by 220.253.65.143 (talk) 13:33, 28 May 2010 (UTC)
Interlocking Boards of Directors?
[edit]It's sort of a paranoid thought, but it would explain a great deal of financial issues; can the CEO of one corporation be on the Board of Directors of a second corporation? That is, can everybody in diverse industries basically vote each other a raise, essentially unopposed? How else would some of these people be paid so much to be so stupid? -- TheLastWordSword (talk) 00:03, 19 February 2011 (UTC)
Directors
[edit]The article had disjointed, conflicting, and unsourced material about directors, inside directors, executive directors, outside directors, and non-executive directors. I found a lot of references and combined the material on these subjects into one section of the article. I tried hard not to disrupt the other material too much. --Lou Sander (talk) 02:24, 7 April 2011 (UTC)
Positions
[edit]What all are the different positions under Board of Directors? — Preceding unsigned comment added by 203.88.128.202 (talk) 11:02, 22 July 2011 (UTC)
- Each organization determines that for itself. Almost always there is a Chairman. Lou Sander (talk) 12:19, 22 July 2011 (UTC)
What about payment?
[edit]I think that there should be a separate section, devoted to the subject of payment and compensation of members of a board, how much it is, if it differs between business corporations and institutions such as museums and universities, and so on and so forth
Board of directors vs. Corporate boards of directors
[edit]This article is about Boards of directors in a general sense. There is a tendency to conflate material pertaining to BODs in Corporations with that pertaining to BODs in general, and to put Corporate stuff where it doesn't really belong. I am going to be bold and move all the Corporate stuff (example: Sarbanes-Oxley) to a position under the Corporations heading. Unfortunately, the material on Corporations isn't very easy for me to understand. (IMHO the fault is 60% with the material and 40% with my understanding.) ;-) The bottom line is that the Corporate stuff needs to be moved, but I don't think I can be very skillful at integrating it with the existing material in a smooth and seamless manner. Hopefully, others can do that part of the work. Lou Sander (talk) 21:16, 8 May 2012 (UTC)
- I just made several moves to accomplish what is discussed above. At this point, the lead and the Directors section contain solid, well-referenced information that applies to boards in all sorts of organizations. The sections that follow are mostly about Corporate boards. I would support demoting many of them to provide a better fit "under" the major Corporations heading. Lou Sander (talk) 21:28, 8 May 2012 (UTC)
Original research?
[edit]What is behind the claim of OR in the Directors section? Note #6 provides links to numerous dictionaries, thesauruses, etc. that define the terms in this section. Many of them have further references to their internal definitions of the other terms in this section. IMHO to attempt to provide inline references for each term in the section would result in a mishmash of numerous overlapping references. IMHO that wouldn't help the article very much, and would add much confusion. If there's a question of OR, it needs to be stated with some specificity. Lou Sander (talk) 18:14, 11 May 2012 (UTC)
- Since the above question has gone unanswered for over three years, I removed the tag in question. Lou Sander (talk) 19:08, 9 December 2015 (UTC)

Merge with Board of Governors?
[edit]73.189.240.68(talk) has suggested another article be merged into this one. This has not been discussed, so I'll start. I would Merge if this article includes it as a new section and for that article's "See Also" section be added to this article's one (the contents to be merged). ¯\_(ツ)_/¯

- Done There was virtually nothing at the other article, so I converted it to a redirect as proposed. Daask (talk) 21:24, 30 December 2017 (UTC)

Comment: Image for board of directors could be improved
[edit]The image attached to the "board of directors" while it may have a certain vintage appeal to some, is surely not the message to sending regarding equal participation across a broader cross-section of society. I would not be happy for my young daughter to see this picture, for example, if it might contribute to her notion that company leadership is the exclusive province of elderly men.
The image is referenced on other pages relating to specific job titles, such as Chief Knowledge Officer, for example. Again I think the association of this out-dated image with those pages creates a bad example.
This is my first post, so I am as yet uncertain of the etiquette for how these things might be changed (and yes, I realise that there is much documentation to read in that regard). So I thought I would simply start by voicing my opinion.

Gender inclusive language
[edit]Need to be more inclusive: Several references to director with the male third person pronoun only. E.g. The director may require the company to circulate any representations that he wishes to make.[d] Furthermore, the director's contract of service will usually entitle him to compensation if he is removed,
By definition, where a director enters into a transaction with a company, there is a conflict between the director's interest (to do well for himself out of the transaction) and his duty to the company (to ensure that the company gets as much as it can out of the transaction).
Change to he or she. — Preceding unsigned comment added by 203.110.235.6 (talk) 06:48, 2 September 2019 (UTC)
- I just fixed four of them. I'm surprised the above comment sat there for more than two years and I could still find four cases. Indeed, we should remember that male is not the default. Unfortunately, I could not change the ones that are in quotes. Perhaps we should reduce the use of such quotes. — BarrelProof (talk) 03:17, 13 December 2021 (UTC)

[edit]Need to discuss councils
[edit]According to https://en.m.wikipedia.org/wiki/Local_government_in_Australia , "The council board members are generally known as councillors, and the head councillor is called the mayor." .
I think that information (plus a link to the source article) ought to be included here.
